Corporate Lawyer / Legal Counsel (Юрист по международному корпоративному праву)

We are looking for a Legal Counsel to provide comprehensive legal support for the investment activities of companies incorporated in Cyprus and the UAE.

In this role you will support transactions involving shares and other securities, liaise with international banks, brokers and corporate service providers, and ensure compliance with KYC, AML and local regulatory requirements.

Key Responsibilities:

• Provide end-to-end legal support for opening accounts for a Cyprus-based company with international brokers and foreign banks;

• Prepare and review documentation required for KYC, AML and compliance procedures;

• Support the acquisition and disposal of shares and other securities;

• Draft and review agreements and other legal documents related to investment transactions;

• Review and negotiate brokerage, custody and depositary agreements, including arrangements involving fiat and digital assets;

• Prepare corporate approvals, Board of Directors’ resolutions and General Meeting of Shareholders’ resolutions;

• Liaise with corporate secretaries, registrars, legal advisers and local agents in the jurisdictions where the companies are incorporated;

• Structure the repatriation of investment income and capital to the Cyprus-based company;

• Provide legal support for the subsequent distribution of funds, including dividends and loans;

• Ensure that corporate and investment activities comply with applicable legislation and regulatory requirements.

Candidate Requirements:

• University degree in Law;

• At least three years of experience in international corporate law environment;

• Hands-on experience supporting companies incorporated in Cyprus is essential;

• Strong understanding of corporate governance and corporate approval procedures;

• Experience working with foreign banks, brokers and professional advisers;

• Good knowledge of KYC, AML and compliance procedures;

• Proficiency in English sufficient for drafting and reviewing legal documents, negotiating contractual terms and communicating with international counterparties;

• Ability to manage matters independently, assess legal risks and offer practical, business-oriented solutions.

The following would be an advantage:

• Experience supporting transactions involving shares and other securities;

• Knowledge of brokerage, custody and depositary arrangements;

• Experience providing legal support for digital asset transactions;

• Previous experience with an investment company, holding company or Family Office;

• Experience working with companies incorporated in the UAE.
